1. Agreement to Terms

By accessing or using Unprototyped's services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

2. Services Description

Unprototyped provides software development, consulting, and prototyping services. We specialize in transforming ideas into production-ready applications through rapid prototyping and scalable system development.

Our services include but are not limited to:

• Custom software development
• Application prototyping
• Technical consulting
• System architecture and design
• Product development

3. User Responsibilities

When using our services, you agree to:

• Provide accurate and complete information
• Maintain the confidentiality of your account credentials
• Notify us immediately of any unauthorized access
• Use our services only for lawful purposes
• Comply with all applicable laws and regulations

4. Intellectual Property

Unless otherwise agreed in writing:

• All work product created for clients becomes the property of the client upon full payment
• Unprototyped retains the right to use general knowledge, techniques, and methodologies
• Unprototyped may showcase completed projects in our portfolio unless confidentiality is agreed upon
• Pre-existing intellectual property of either party remains the property of that party

5. Payment Terms

Payment terms are specified in individual project agreements. Generally:

• Invoices are due within the timeframe specified in the project agreement
• Late payments may incur additional fees
• Work may be paused if payment is not received as agreed
• All prices are in GBP unless otherwise stated

6. Project Scope and Changes

Project scope is defined in individual agreements. Changes to scope may result in adjusted timelines and costs. We will communicate any scope changes and obtain approval before proceeding.

7. Warranties and Disclaimers

We strive to deliver high-quality services, however:

• Services are provided "as is" without warranties of any kind
• We do not guarantee uninterrupted or error-free service
• We are not liable for any indirect, incidental, or consequential damages
• Our total liability is limited to the amount paid for the specific service

8. Confidentiality

We respect the confidentiality of client information. We will not disclose confidential information to third parties without permission, except as required by law. Both parties agree to maintain confidentiality of sensitive information shared during the course of the engagement.

9. Termination

Either party may terminate services with written notice as specified in the project agreement. Upon termination:

• Payment is due for all work completed up to the termination date
• We will provide all completed work product
• Confidentiality obligations continue after termination

10. Limitation of Liability

To the fullest extent permitted by law, Unprototyped shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

11. Indemnification

You agree to indemnify and hold harmless Unprototyped from any claims, damages, losses, or expenses arising from your use of our services or violation of these terms.

12. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be resolved in the courts of England and Wales.

13. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of any material changes by posting the new terms on our website. Continued use of our services after changes constitutes acceptance of the modified terms.
